Terms of use
1) Acceptance of the Terms
These Terms of Use (the “Terms”) form a binding agreement between you and Verdanta. By accessing or using Verdanta’s websites, APIs, or services (collectively, the “Service”), including by signing in, you agree to these Terms and to our Privacy Policy. If you disagree, do not use the Service.

3) Definitions
- Verdanta Content: The website, user interface, pages, documentation, and any copyrightable content owned by Verdanta.
- Verdanta Data: Factual records and curated annotations compiled by Verdanta from public or licensed inputs, including their selection and arrangement.
- Derived Results: Tables, figures, analyses, models, or similar work products you produce using Verdanta Data.
- Academic Use: Research or teaching by staff or students of accredited academic institutions or non-profit institutions. Allows consulting or contract work for third parties, provided that login credentials are not shared.
- Commercial Use: Any use that is not Academic Use, including internal business use.
- Bulk Extraction (“Bulk”): Any extraction that, alone or in aggregate, reproduces material portions of Verdanta Data such that a third party could avoid using the Service. Verdanta may publish specific limits for particular datasets or accounts.
- Substitute Service (“Substitute”): A product or service that offers substantially similar core data coverage and organization such that a typical user would reasonably view it as an alternative to Verdanta.
4) Accounts and access
We use passwordless email authentication to verify users, protect the service from abuse, and automatically grant the academic license where appropriate. When you log in, a one-time access code is sent to your provided email address. Privacy of this process is described in Verdanta’s privacy policy.
5) Licenses
Subject to these Terms, Verdanta grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service as follows:
5.1 Academic License (no-fee).
If your email address is recognized by the Research Organization Registry (ROR) as belonging to an academic institution, an academic license will be granted automatically upon your first login. If you do not have an academic email address, you may contact us to explain your circumstances. Access may be granted manually if your situation meets the eligibility criteria.
This License permits Academic Users to access and view Verdanta and to include reasonably limited excerpts of Verdanta Data in scholarly publications or other academic outputs, provided that proper attribution is given in accordance with §6.
The redistribution of Bulk Verdanta Data and the creation of any Substitute are expressly prohibited.
AI model training is permitted under the same terms as other authorized uses. The public or commercial release of an AI model constitutes a form of publication. In the absence of a separate accompanying article, the model’s documentation shall include an appropriate reference to Verdanta.
For the avoidance of doubt, the mere packaging, bundling, or embedding of exported Verdanta Data into software shall be deemed the creation of a Substitute and is therefore not permitted.
Once you leave your academic institution and are no longer affiliated with it, you may not continue using the service under the terms of the Academic License — even if your university email address remains active and still provides technical access. The only exception is the temporary use of your academic account to demonstrate Verdanta to your new employer. However, if you continue research projects under the supervision or involvement of university staff or students, you are still considered affiliated.
5.2 Commercial License.
Terms of commercial agreements are negotiated directly with commercial clients and governed by separate agreements. Nothing in this document permits any commercial use.
5.3 Demo license
Demo license is granted automatically if you sign in with an email that has not been recognized as affiliated with an academic institution.
If you sign in under a Demo License, you will have access only to a minimal dataset intended solely to demonstrate and evaluate the features of the service. This dataset may be used for any form of demonstration or evaluation. It may also be accessed under the terms of the Academic License, even if you would not otherwise qualify for it.
5.4 Ownership of Derived Results.
Except for Verdanta Content and Verdanta Data contained within, you own your Derived Results.
Your ownership does not include any right to redistribute Bulk Verdanta Data embedded in or underlying those results without a separate agreement.
6) Attribution and citation
If a scientific publication (including preprints) uses Verdanta Data to support results or material conclusions, you must cite Verdanta:

Where provided, include dataset or version identifiers. You must also cite original third-party sources in accordance with their licenses.
For public non-academic outputs (e.g., reports, white papers, blogs), include: “Data curated by Verdanta (https://verdanta.tech)” in acknowledgments.
If Derived Results are publicly shared and include specific figures/tables materially dependent on Verdanta Data, include the required citation near the relevant figure/table or in a consolidated data sources section.
7) Access rules: no scraping or creation of a substitute
Access the Service only via the website or approved APIs. Automated scraping, headless browsing, or HTML parsing of the website is prohibited, including for research, except where Verdanta provides explicit written permission or a dedicated endpoint. Do not bypass authentication or interfere with access controls. You must not systematically extract Verdanta Data to recreate, mirror, or provide a Substitute, or otherwise perform a Bulk extraction that serves as a substitute for the Service. Robots and access-control signals on public surfaces must be respected; content behind login is not for crawling.
8) AI model training
AI model training is governed by the same rules as any other Verdanta data or content access.
9) API terms (if available)
- Keys. API keys are personal and must not be shared.
- Rate Limits. Verdanta may publish per-endpoint rate limits, throttle, or suspend keys to protect stability and prevent abuse.
- Caching. You may cache responses without restrictions, provided you do not use them from a different computer (backups are allowed, but not NAS sharing).
- Changes. Verdanta may modify or discontinue endpoints; for breaking changes to stable endpoints, Verdanta will use reasonable efforts to provide at least 30 days’ notice (not applicable to security fixes or beta endpoints).
- Redistribution. Republishing API outputs as a public dataset is prohibited without a separate agreement.
10) Third-party materials
Verdanta integrates public and licensed inputs. Verdanta does not grant rights to third-party publications or data beyond what those owners allow. You are responsible for complying with original licenses and citation requirements for third-party sources and, to the extent required, providing their attribution in addition to §6.
11) Intellectual property
Verdanta owns Verdanta Content and the copyright in the selection, coordination, and arrangement of Verdanta Data. All rights not expressly granted are reserved. These Terms do not transfer ownership of any intellectual property.
12) User content
If you upload or submit content, you grant Verdanta a worldwide, non-exclusive, royalty-free license to use, reproduce, and display that content solely to operate, improve, and secure the Service and to comply with law and enforce policies. You represent that you have all necessary rights to grant this license.
13) Confidentiality
Information you designate as confidential and that is not publicly available will be kept confidential and used only to provide the Service. Verdanta may disclose confidential information (i) as required by law, subpoena, or court order (with prompt notice where legally permitted), or (ii) to its advisors and subprocessors bound by confidentiality obligations, solely to operate the Service.
14) Disclaimers
As-is. The Service is provided “as is” and “as available,” without warranties of any kind, express or implied.
No clinical use. Verdanta is not intended for diagnostic, therapeutic, or clinical decision-making use.
15) Limitation of liability
To the maximum extent permitted by law, Verdanta will not be liable for any indirect, incidental, special, consequential, or exemplary damages, or for loss of profits, data, or goodwill, arising from or relating to your academic use of the Service (same is defined for commercial agreements unless they explicitly specify different terms).
16) Indemnification
You agree to indemnify and hold Verdanta harmless from any claims, losses, and expenses (including reasonable attorneys’ fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.
17) Suspension and termination
Verdanta may suspend or terminate access immediately if you violate these Terms (including §§7 and 8) or if necessary to protect the Service. Upon termination, licenses granted to you end, but §§6–16, 18–21 survive.
18) Governing law and venue
These Terms and any dispute arising out of or relating to them are governed by the laws of Switzerland, without regard to conflict-of-laws rules. The exclusive place of jurisdiction is Zurich, Switzerland.
19) Changes to these Terms
Verdanta may update these Terms. For material changes, Verdanta will provide notice (e.g., email to your account address or in-product notice) at least 15 days before the new Terms take effect, unless a shorter period is required for legal or security reasons. The “Last updated” date will reflect the current version. Your continued use after the effective date constitutes acceptance.

21) General terms
- Entire Agreement. These Terms and the documents expressly incorporated by reference (including the Privacy Policy and any API terms) constitute the entire agreement between you and Verdanta and supersede all prior understandings.
- No Waiver. A failure to enforce a provision is not a waiver.
- Severability. If any provision is unenforceable, the remainder remains in effect, and the provision will be enforced to the maximum extent permitted.
- Assignment. You may not assign or transfer these Terms without Verdanta’s prior written consent. Verdanta may assign these Terms in connection with a merger, acquisition, or sale of assets.
- Force Majeure. Verdanta is not liable for delays or failures caused by events beyond its reasonable control.
- Order of Precedence. If there is a conflict between these Terms and specific API terms, the API terms control for API use.
